Parent Terms

Overview

1.1 Everything Kids may offer an optional paid membership for parents and caregivers.

1.2 These terms are between you (the parent or caregiver) and Everything Kids Australia Pty Ltd, ABN 35 167 762 727 and ACN 167 762 727 (Everything Kids, EK, we, us, our), acting as the Australian payment collection, GST/compliance and local administration entity for the Everything Kids platform.

1.3 Membership gives access to participating provider discounts, EK funded offers and other member benefits that EK makes available from time to time.

1.4 Membership does not guarantee a specific provider, discount, category, suburb, place, activity, booking availability or minimum number of participating providers.

Membership fee

2.1 Membership costs $10 per month, GST inclusive where applicable.

2.2 Membership is billed monthly in advance through Stripe or another payment processor approved by EK, unless the parent chooses an annual membership option.

2.3 Standard annual membership costs $100 per year, GST inclusive where applicable. This gives the equivalent of 2 months free compared with paying $10 per month for 12 months.

2.4 From time to time EK may make a separate introductory or promotional offer available to new or existing parents. Any such offer applies only if the parent separately accepts the relevant offer terms.

2.5 Unless separately accepted offer terms state otherwise, after any introductory period, renewal is at the then current standard annual membership price unless the parent cancels before renewal. EK will notify members of the upcoming renewal, the renewal price and how to cancel at least 30 days before the renewal date.

2.6 Amounts are in Australian dollars.

Benefits

3.1 Benefits may include:

  1. Access to participating provider discounts
  2. EK funded member offers
  3. Member only content, guides or recommendations
  4. Priority access or early access where available
  5. Future benefits EK chooses to add

3.2 Discounts are subject to provider participation, offer availability, location, category, inventory, dates, activity type and platform rules.

3.3 EK does not guarantee a minimum number of participating providers or discounted activities in any specific category, suburb, state, geographic location or time period.

3.4 EK may add, change, pause or remove membership benefits by giving at least 30 days notice where the change is material. If EK makes a material adverse change that reduces core benefits or increases the fee, the parent may cancel within 30 days of the change notice and receive a pro-rata refund for the unused portion of the current billing period (see section 7.1).

Eligibility

4.1 Membership is available to individuals aged 18 or over with an EK account.

4.2 Membership is personal and cannot be transferred.

Cancellation

5.1 Parents may cancel membership at any time through account settings or by contacting EK.

5.2 Cancellation takes effect at the end of the current paid billing period unless EK chooses otherwise.

5.3 After cancellation, the parent can continue to browse and book at standard prices.

5.4 Existing bookings made at a member price remain valid unless the booking is cancelled under the Booking, Cancellation and Refund Policy.

Failed payments

6.1 If membership payment fails, EK may notify the parent and retry payment.

6.2 EK may allow a 3 day grace period before pausing member benefits.

6.3 If payment is not resolved, membership may be paused or cancelled.

Refunds

7.1 Membership fees are generally not refundable for the current billing period once charged. However: (a) If a parent cancels within 7 days of the start of a new billing period (including auto-renewal), EK will provide a pro- rata refund for the unused portion of that billing period. (b) If EK makes a material adverse change to membership benefits or fees and the parent cancels within 30 days of the change notice, EK will provide a pro- rata refund for the unused portion of the current billing period. (c) EK will provide a full refund where required by law (including Australian Consumer Law consumer guarantees) or where there has been a billing error.

7.2 EK may provide a refund where required by law, where there has been a billing error, or where EK makes a material adverse change and the parent cancels within the notice period stated in the change notice. For membership fee increases, that notice period will be at least 30 days.

Price changes

8.1 EK may change the membership fee by giving at least 30 days notice.

8.2 If the parent does not agree to the new fee, the parent may cancel before the new fee applies.

Misuse

9.1 EK may suspend or cancel membership for fraud, misuse, abusive behaviour, account sharing, chargeback abuse or breach of platform terms. Before suspending or cancelling for a reason other than urgent safety risk, fraud, illegality or threat to the platform or its users, EK will: (a) notify the parent with reasons; (b) give the parent a reasonable opportunity to respond; and (c) consider the parent’s response before making a final decision. EK may act immediately where there is an urgent risk to safety, security, the platform or other users.

Booking, Cancellation and Refund Policy The Booking, Cancellation and Refund Policy is a separate document that applies to bookings made through Everything Kids. It should be accepted and versioned as its own legal document where the platform asks parents or providers to accept booking, cancellation or refund terms.

Marketplace Role and Liability

EK is a marketplace and payment facilitator

10.1 EK provides or facilitates an online marketplace that connects parents and caregivers with activity providers.

10.2 EK acts as a marketplace, discovery, booking, payment collection and support service for Australian users. EK is not the provider of any activity listed on the platform unless EK expressly states otherwise in writing.

10.3 The provider is solely responsible for the safety, quality, supervision, delivery, licensing, insurance and regulatory compliance of their activities, staff, venues and equipment.

10.4 Parents enter into a direct relationship with the provider when booking an activity. EK facilitates the booking and payment but is not a party to the activity delivery.

Liability limitation

11.1 To the maximum extent permitted by law, EK’s total liability arising out of or relating to the platform, a booking, membership or these terms is limited to the greater of: (a) the amount paid by the parent to EK in connection with the relevant transaction, booking or membership; and (b) AUD $500.

11.2 EK is not liable for any act, omission, injury, loss, damage, death or harm arising from an activity provider’s service, including but not limited to negligence, inadequate supervision, unsafe premises, inadequate insurance, unqualified staff, breach of contract or regulatory non-compliance by the provider.

11.3 Nothing in these terms limits rights that cannot be excluded under Australian Consumer Law. Where a non- excludable right is breached, EK’s liability is limited, at EK’s option, to resupplying the service or paying the cost of having the service resupplied.

11.4 EK may, at its discretion, assist with dispute resolution between parents and providers, including facilitating refunds, credits or payout adjustments. This does not create an obligation for EK to guarantee provider performance or assume liability for provider acts or omissions.

Provider accountability

12.1 EK reserves the right to take action against providers who cause loss to parents, including adjusting payouts, withholding commissions, suspending or removing listings, recovering losses from provider funds held by EK, and terminating provider accounts.

12.2 Where EK refunds a parent due to provider misconduct, cancellation, error or breach, EK may recover the refund amount from the provider’s next payout or any funds held by EK on behalf of the provider.

Chargebacks

13.1 If a parent initiates a chargeback with their bank or card provider, EK may dispute the chargeback where EK believes the claim is invalid.

13.2 If a chargeback is reversed (the parent’s claim is unsuccessful) and the funds have not already been reinstated to EK by the bank or card provider, EK may invoice or re-charge the original amount using a lawful payment method with any required authorisation. EK will not double-charge: any invoice or re-charge applies only to the extent EK has not already received the funds.

13.3 If a chargeback results from provider error or misconduct, EK may recover the chargeback amount from the provider’s payout or funds held by EK.

Other terms

14.1 These terms should be read with the Website Terms of Use, Privacy Policy and Cookie and Tracking Notice.

14.2 These terms are governed by the laws of Victoria, Australia.
